Colm is Head of the firm’s Company Secretarial and Corporate Governance team.

Colm has extensive expertise in company law, corporate governance, and company secretarial matters.

He is based in our Galway office, providing company secretarial, compliance, company formation, and corporate governance support services to domestic and international clients, as well as local businesses in Galway and the Western regions.

Prior to joining LK Shields, Colm managed the overseas office of an Irish-owned trust and corporate service provider for over 8 years.

Experience

  • Assisting domestic and international clients with the registration of companies, funds, limited partnerships, branches, companies limited by guarantee and charities in Ireland.
  • Providing company secretarial support to Regulated Fund companies, SPVs, private and public companies, and charities.
  • Advising clients on best practice for holding successful board and shareholder meetings.
  • Advising company officers in various sectors on their duties and responsibilities under the Companies Act.
  • Attending and minute taking at Board and shareholder meetings.
  • Advising companies on audit exemption and financial reporting requirements in Ireland.
  • Advising clients on Summary Approval Procedures (SAPs) and requirements relating to a reduction of share capital requiring High Court approval pursuant to Section 84 of the Companies Act 2014.
  • Advising clients on requirements relating to the winding up of companies and branches.
  • Advising clients on High Court and administrative restorations of companies.
  • Advising clients on discrepancy and non-compliance notices from the Register of Beneficial Ownership Assisting clients with the preparation of minutes, resolutions, statutory declarations and associated documentation relating to share transactions and re-organisations, changes to company officers, alterations to Constitutions, rectifying public filings and other regulatory matters.
